Terms of Service

1. Acceptance of Terms

By using the Orders Tagger for Shopify ("App"), installing it in your Shopify store, you accept these Terms of Use ("Terms"). If you do not agree with any of the following terms, do not install or use the App.

2. Business Model

Business model: You are provided with SaaS (software access), not purchasing a license or ready-made code. The service is currently provided free of charge. We may introduce paid plans in the future with advanced features, but core functionality will remain free.

3. Intellectual Property

All source code, graphics, algorithms, and tagging logic are the exclusive intellectual property of the App creator (Rafał Stybliński).

You are not permitted to:

• Copy, reproduce, or distribute the App's source code
• Perform reverse engineering, decompilation, or disassembly of the App
• Extract or reuse the tagging logic for commercial purposes
• Create derivative works based on the App without explicit written permission

The App is provided as a service (SaaS). You receive access rights only, not ownership of any intellectual property.

4. Service Description

The App provides automated order tagging for Shopify orders based on:

• Order total value (converted to EUR for threshold evaluation)
• Shipping destination country
• Shop base country (from Shopify API)
• Predefined tagging rules (4 presets for customs and IOSS compliance)

Tags are applied automatically via Shopify webhooks when orders are created.

We are not responsible for:

• Incorrect tagging due to exchange rate fluctuations
• Changes to customs regulations or thresholds
• Financial losses resulting from use of the App
• Compliance issues arising from reliance on tags for legal/tax purposes
• Webhook processing delays or failures (Shopify infrastructure)

Always consult with qualified professionals (tax advisors, customs brokers, accountants) for tax, customs, and compliance decisions.

8. Pricing and Payments

The App is provided as a paid subscription service. After the 14-day free trial, you will be automatically charged $15 USD per month unless you cancel.

Payments are processed by Shopify International Limited as your billing agent. You authorize Shopify to charge your payment method on file.

Subscription Management:

• Free Trial: 14 days from installation. No charges during trial.
• Cancellation: Available at any time through the Shopify Admin panel (Apps → Orders Tagger → Remove app). After cancellation, the subscription remains active until the end of the current billing period.
• Refunds: We do not provide refunds for partial months. If you cancel mid-cycle, you retain access until the billing period ends.
• Price Changes: We reserve the right to change pricing with 30 days' notice. Existing subscriptions will be grandfathered at the old price for 90 days.

9. Merchant Responsibility

As a Shopify store owner, you are responsible for:

• Understanding tag meanings: Ensure you understand what each tag represents and how to use them in your workflows
• Compliance with regulations: Adhering to customs, tax, and VAT regulations in your jurisdiction and destination countries
• Customs declarations: Preparing accurate customs documentation using qualified professionals, not relying solely on order tags
• IOSS registration: If using IOSS tags, ensuring you are properly registered and compliant with EU VAT rules
• Operational decisions: Using tags as one input among many for your business operations, not as the sole decision-making factor

10. Data Processing and Privacy

The App processes minimal data to function:

• Shop data: domain, country code, currency (from Shopify API)
• Order data: order ID, total value, shipping country (from webhooks)
• Logs: tags applied, exchange rates used, timestamps

The App does NOT collect or store:

• Customer personal data (names, addresses, emails, phone numbers)
• Payment information
• Product details or inventory data

11. Limitation of Liability

To the maximum extent permitted by law:

• The App is provided "AS IS" without warranties of any kind, express or implied
• We do not guarantee uninterrupted, error-free, or secure operation
• We are not liable for any indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the fees paid by you in the 12 months prior to the claim (currently $0 for free plan)

12. Service Availability and Modifications

We reserve the right to:

• Modify, suspend, or discontinue the App at any time
• Update tagging logic, thresholds, or presets based on regulatory changes
• Change these Terms with 30 days' notice

Major changes will be communicated via email to the shop owner's registered email address.

13. Termination

You may uninstall the App at any time through your Shopify Admin panel. Upon uninstallation:

• Webhooks will be automatically removed by Shopify
• No further tags will be applied to new orders
• Existing tags on orders will remain (they are part of your Shopify data)
• Your shop data and settings will be retained for 90 days, then permanently deleted

14. Assignment

The Provider reserves the right to assign, transfer, or subcontract any or all of its rights and obligations under these Terms to any third party at its sole discretion, including but not limited to cases of merger, acquisition, or sale of assets, without requiring further consent from the User.

15. Discontinuation of Service

The Provider reserves the right to modify, suspend, or discontinue the Service (or any part thereof) at any time. In the event of a permanent discontinuation of the Service, the Provider shall notify Users at least 30 days in advance via the contact information provided in the Shopify Admin.

In such cases, any prepaid but unused fees will be refunded on a pro-rata basis. For example, if you have paid for a full month but the service is discontinued after 15 days, you will receive a refund for the remaining 15 days.

16. Governing Law

These Terms are governed by the laws of Poland. Any disputes shall be resolved in the courts of Gliwice, Poland.
